Please read these Terms and Conditions ("Terms") carefully before using the Corezilla platform and services ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

For the purposes of these Terms:

"Corezilla", "we", "us", or "our" refers to Corezilla, the company operating this platform.

"Service" means the Corezilla web application, APIs, software, and related services.

"User", "you", or "your" refers to any individual or entity accessing or using the Service.

"Account" means the account you create to access and use the Service.

"Content" means data, text, files, information, and other materials you submit, upload, or transmit through the Service.

"Subscription" means a paid plan granting access to certain features of the Service.

2. Acceptance of Terms

By creating an Account or using the Service in any way, you represent that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding agreement; and (c) your use of the Service does not violate any applicable law or regulation. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

3.1 Account Creation

To access certain features of the Service, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to keep your information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Corezilla immediately of any unauthorized access to or use of your Account. Corezilla is not liable for any loss arising from your failure to protect your credentials.

3.3 One Account Per User

Each person may maintain only one Account. Creating multiple Accounts to circumvent restrictions, obtain additional features, or for any other purpose is prohibited.

4. Subscriptions and Payments

4.1 Subscription Plans

Corezilla offers both free and paid Subscription plans. The features available under each plan are described on our pricing page, which may be updated from time to time.

4.2 Billing

By subscribing to a paid plan, you authorize Corezilla (or its payment processor) to charge your designated payment method on a recurring basis. All fees are stated in U.S. dollars unless otherwise specified and are exclusive of applicable taxes.

4.3 Renewals and Cancellations

Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. Cancellation takes effect at the end of the current billing period; you will not receive a pro-rated refund for unused time unless required by applicable law.

4.4 Price Changes

Corezilla reserves the right to modify pricing at any time. We will provide at least 30 days' prior notice of any price increase, which will take effect at the start of your next billing cycle.

4.5 Refunds

All fees are non-refundable except as required by law or as expressly stated in a separate written agreement with Corezilla.

5. Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable local, state, national, or international law or regulation.

Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, harmful, or infringes the rights of any third party.

Engage in unauthorized access to any system, network, or account.

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.

Introduce malware, viruses, or any other malicious code into the Service.

Use automated means (bots, scrapers, crawlers) to access the Service without prior written consent.

Resell, sublicense, or otherwise commercially exploit the Service without authorization.

Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

Corezilla reserves the right to suspend or terminate your access for any violation of this Acceptable Use Policy.

6. Intellectual Property

6.1 Corezilla IP

The Service and all its components, including software, design, logos, trademarks, text, and graphics, are the exclusive property of Corezilla and its licensors. These Terms do not transfer any intellectual property rights to you.

6.2 License to Use the Service

Subject to your compliance with these Terms, Corezilla grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes during the term of your Subscription.

6.3 Your Content

You retain ownership of all Content you submit to the Service. By submitting Content, you grant Corezilla a worldwide, non-exclusive, royalty-free license to host, store, process, and display your Content solely as necessary to provide the Service. You represent and warrant that you have all rights necessary to grant this license.

6.4 Feedback

If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant Corezilla an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such Feedback into the Service without any obligation to you.

7. Privacy

Your privacy is important to us. Our Privacy Policy, available at corezilla.com/privacy, describes how we collect, use, and share information about you. By using the Service, you acknowledge that you have read and understood our Privacy Policy, which is incorporated into these Terms by reference.

8. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that: (a) is or becomes publicly available without breach; (b) was already known to the receiving party; (c) was independently developed without use of confidential information; or (d) is required to be disclosed by law.

9. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, websites, or applications. Corezilla does not endorse, control, or assume responsibility for any third-party services or content. Your use of third-party services is governed by their respective terms and privacy policies. Corezilla shall not be liable for any harm or loss arising from your use of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. COREZILLA DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COREZILLA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL COREZILLA'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO COREZILLA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Corezilla and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Content; (c) your breach of these Terms; or (d) your violation of any applicable law or the rights of any third party.

13. Term and Termination

13.1 Term

These Terms are effective as of the date you first access the Service and remain in effect until terminated.

13.2 Termination by You

You may terminate your Account at any time by following the instructions in your account settings or by contacting our support team. Termination is effective at the end of your current billing period.

13.3 Termination by Corezilla

Corezilla may suspend or terminate your access at any time, with or without cause, and with or without notice. We will endeavor to provide reasonable notice where practicable except where immediate termination is required for security, legal, or regulatory reasons.

13.4 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will survive.

14. Modifications to These Terms

Corezilla reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by sending an email to the address associated with your Account. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

15.2 Informal Resolution

Before filing a formal legal claim, you agree to contact Corezilla at [email protected] to attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days.

15.3 Arbitration

If a dispute cannot be resolved informally, both parties agree to resolve it through binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

15.4 Class Action Waiver

You waive any right to participate in a class action lawsuit or class-wide arbitration against Corezilla.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with Corezilla, constitute the entire agreement between you and Corezilla regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

16.3 Waiver

Corezilla's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Corezilla's prior written consent. Corezilla may freely assign its rights and obligations without restriction.

16.5 Force Majeure

Corezilla shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, war, government action, internet outages, or other events of force majeure.

16.6 No Agency

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Corezilla.
